DEFINITION

Foreign qualification is registering a company to do business in a state other than the one that formed it. In this context foreign means out-of-state, not out-of-country. It typically requires a filing fee, a registered agent in that state and its own annual report.

01

Why does Foreign qualification matter for founders?

This is why forming in a cheap state rarely saves a US resident money. If you operate in your home state but formed elsewhere, you generally must qualify at home too - paying two sets of fees and filing in two places for one business.
