Why this keeps changing
The Corporate Transparency Act's BOI requirement was introduced, paused by courts, and then narrowed by a FinCEN interim rule in March 2025 that exempts US-created companies. Because the position has moved so many times, old articles and paid reminder letters are frequently wrong.
Always confirm the current requirement directly on FinCEN.gov, and never pay a third party who emails you claiming an urgent BOI penalty - filing, when required, is free through FinCEN.
