The responsible party is the individual who ultimately owns or controls an entity, named on the EIN application. The IRS expects a natural person with genuine control, not a nominee, formation agent or another entity where a person is required.

Why does Responsible party matter for founders?

Naming a formation service or nominee causes problems later - typically at the bank, where the named party does not match the person applying. Getting it right on Form SS-4 avoids records that are slow and awkward to correct.
